Vendor / Seller Agreement

Mutual agreement between Propings and our valued Business Partners.

This Vendor / Seller Agreement (“Agreement”) is entered into between:

Mantra Enterprise and Propings Technology LLP, having its principal place of business at Rajkot, Gujarat, India (hereinafter referred to as “Propings”, “Platform”, “we”, “our”, or “us”)

AND

The individual, firm, company, or entity registering as a seller/vendor on https://propings.in (hereinafter referred to as “Vendor”, “Seller”, “you”, or “your”).

By registering as a vendor on Propings, you agree to be bound by this Agreement.

1. Nature of Relationship

  • Propings operates as an e-commerce marketplace.
  • Vendors act as independent sellers.
  • Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

2. Vendor Eligibility & Onboarding

To sell on Propings, the Vendor must:

  • Be legally authorized to conduct business in India.
  • Submit valid KYC and legal documents, including:
    • Business registration documents
    • GST details (if applicable)
    • Identity proof
    • Bank account details

Propings reserves the right to approve, reject, or suspend vendor onboarding at its discretion.

3. Vendor Responsibilities

The Vendor agrees to:

  • List accurate, lawful, and genuine products.
  • Ensure products comply with all applicable Indian laws.
  • Maintain correct pricing, descriptions, specifications, and images.
  • Ensure products are new, unused, and defect-free.
  • Package products securely to prevent transit damage.
  • Dispatch orders within the timelines communicated by Propings.
  • Provide proper invoices wherever applicable.

4. Prohibited Products

Vendors must not list or sell:

  • Illegal, counterfeit, or restricted products.
  • Products violating intellectual property rights.
  • Products banned under Indian law.

Propings reserves the right to remove such listings without notice.

5. Pricing & Taxes

  • Vendors are solely responsible for product pricing.
  • Vendors are responsible for:
    • GST collection and compliance.
    • Issuing tax invoices (where applicable).
  • Propings shall not be liable for vendor tax non-compliance.

6. Orders & Fulfilment

  • Orders received via the platform must be fulfilled promptly.
  • Vendors must coordinate with courier partners arranged by Propings, or transporters (for heavy or high-value items).
  • For Pay & Pick from Transporter orders:
    • Vendor must deliver goods to the transporter location as instructed.
    • Customer pays transporter charges directly.

7. Shipping, Handling & Risk

  • Vendors are responsible for safe packaging and handover.
  • Risk transfers once the product is handed over to the courier partner or transporter.
  • Vendors may be charged material handling charges for special packaging or logistics.

8. Returns, Refunds & Damages

  • Returns are accepted only if the product is defective, damaged in transit, or the wrong product is shipped.
  • Unboxing video is mandatory for all damage/defect claims.
  • Vendors must cooperate in verification and resolution.
  • If damage or defect is due to vendor fault:
    • Vendor shall bear return, replacement, and logistics costs.
    • Propings reserves the right to recover such costs from vendor payouts.

9. Quality Control & Compliance

  • Propings may conduct audits, quality checks, or listing reviews.
  • Vendors must promptly address quality complaints.
  • Repeated quality issues may result in listing removal or account suspension.

10. Payments & Settlements

  • Customer payments are collected via Razorpay.
  • Vendor settlements will be made as per agreed payout cycle.
  • Propings may deduct platform fees, handling charges, and return or damage recovery costs.
  • Vendors must maintain valid bank details at all times.

11. Intellectual Property

  • Vendors retain ownership of their trademarks and brand names.
  • Vendors grant Propings a non-exclusive right to use product content for marketing and operations.
  • Vendors confirm that listed content does not infringe third-party rights.

12. Confidentiality

  • Vendors must keep all non-public business information confidential.
  • Confidentiality obligations survive termination of this Agreement.

13. Indemnification

Vendor agrees to indemnify Propings from product liability claims, legal violations, tax non-compliance, or customer complaints due to vendor fault.

14. Suspension & Termination

  • Propings reserves the right to suspend or terminate accounts for policy violations, fraud, or poor performance.
  • Upon termination, active listings will be removed and pending settlements may be withheld to cover liabilities.

15. Limitation of Liability

  • Propings shall not be liable for vendor losses, business interruption, or loss of profit.
  • Total liability shall not exceed fees earned from the vendor in the preceding transaction.

16. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India. Courts at Rajkot, Gujarat shall have exclusive jurisdiction.
